The "BIG PLAN".
The proceeds of the share offering will be used primarily for the creation of an official corporate business trading account under the gemxwave.com, Inc. name. The more shares that are bought, the bigger the account will be. The ideal scenario is to create a real, NON-Tai Chi $100,000.00 trading account, that can be monitored by shareholders and subscribers. If I can match Tai Chi's 634% performance last year (which was during THE WORST U.S. STOCK MARKET IN HISTORY), on a $100,000.00 trading account, it would significantly increase the value of the corporation. I'm selling the shares at $1.95 each based on the valuation of the $50,000.00 earned EXCLUSIVELY from the website subscription fees for 2002-2003 at a CONSERVATIVE P/E of 29.7 times projected 2003-2004 earnings. A creation of a real account, would be greatly accretive to earnings. For example, if I can increase the $100,000.00 real trading account into $734,000.00 (634% like last year), the price of the shares originally priced at $1.95 would rocket to $19.50-$22.00 with a return of 1000% (on a conservative P/E of 29.7), pushing shareholder value through the roof...This could happen in JUST ONE YEAR. BUT if this private placement IPO sells out, I create a real trading account with $1,000,000.00, and match the 634% Tai Chi performance in last year's Tai Chi fantasy portfolio, the shares originally offered at $1.95 could be valued as high as $144.00 based on a conservative P/E of 29.7! A return of almost 8000%! In the future, if my website can net over $750,000 in profits for a year, I can apply for a NASDAQ small cap listing for 2004 (if it qualifies), and the shares could be valued at Yahoo, Amazon, eBay and Expedia levels (60-65 times earnings). This is a corporation with the potential for VERY MASSIVE GROWTH. Imagine 600-634% annual returns for each of the next 6-7 years....$100,000.00 into $734,000.00 for 2003-2004, $734,000.00 into 4.5 million for 2004-2005, 4.5 million into 26.5 million for 2005-2006, 26.5 million into 158-160 million for 2006-2007, 158-160 million into 950 million/1 billion for 2007-2008, and 950 million/1 billion into 5.5 billion-6.5 billion for 2008-2009....if I can match 600%-634% a year for 6-7 years, this corporation could be making as much as Berkshire Hathaway, and the valuation of the corporation would be identical (I believe BRK.a has a valuation of over 300 billion dollars)...but this is an INTERNET stock, and the big 3 (AMZN, YHOO, EBAY) trade at 60-65 times earnings....can you imagine a NASDAQ small cap listing IPO in 2004, and the investors price in 6-7 years of potential earnings...can you say a "PARABOLIC REPLAY OF QCOM OR RMBS OF THE HIGHEST MAGNITUDE." This is all VERY POSSIBLE, and with what looks like a NEW BULL MARKET forming, the SKY IS THE LIMIT.
Website/Advertising/Marketing plans:
*Competing Elliott Wave software: Back in April of last year, an unnamed billionaire in New York offered me to trade with his circle of 4 traders in his personal trading account, and told me he'd hook me up with software developers from a few of the biggest tech companies in the world (like IBM), to help create software that could compete with companies like Esignal that charge $299.00 a month JUST TO LEASE. (NOTE: My cousin works for Thomson Financial, and that's one avenue I have)... I have even considered just creating the software, breaking even, and making it very cheap, or even making it a free upload (!) on my site...this would add TREMENDOUS VALUE to the site, and would give all the subscribers all the tools I use when I trade...greatly enhancing the overall experience. I could even update my business model based on it...my vision of the future is having subscribers use my software, and during the day, I'd flash updates every half hour...like they do with Reuters on Etrade and Schwab accounts using software...there would also be a link to the daily Elliott Wave forecasts....This could become the ultimate trading experience. I'd take real risks...I would want it to be very personalized, very trendy, cool, and cutting edge...I would even go as far as being a virtual online DJ, with my music....(further transimitting my wavelength)...I listen to music ALL the time when I run my website, and it helps soothe the nerves and keeps me in top "tai chi" form...there could be an optional radio link on the software...I could also have a webcam setup to personalize the experience even more...you can see my life every day as being very free and happy...(like reality television show? lol) This could easily be THE MOST DOMINANT TRADING SOFTWARE IN THIS BUSINESS. Kind of like Microsoft's XP...can you imagine a world where stock trading became as cool as NBA basketball to people my age (18-27), where traders would compete against each other every day like a sporting event? And the result is all my subscribers living an easy life, away from the stressful trappings of a 9-5 job, revolved around my software?....I am very in touch with the younger generation, and I can make it a "cool and hip" thing to do. One of the dreams of the dotcom was to make the "gen-x" generation wealthy, and I keep up with popular culture every day...people like me, sitting at Coffee Bean with my software on their wireless laptops meeting women....I was sick of being stuck at home on my PC, and now that the wireless revolution is starting, and I have access to some sick technolgy (like Sprint wireless laptop cards, bluetooth, and my favorite, my Handspring Treo 3G wireless phone), I can BE FREE, create wealth and BE SOCIAL...But the big thing with this software, is that if my subscribers are convinced to use the software, and lease it for $199-$299 a month, this would make revenues skyrocket...the big difference with my software that would separate me from the rest of the other pretenders, is that I'm the one who's guiding it...There is SO MUCH that can be done..I'm almost a walking monopoly..
*Plutonium Level $99-$119 a month For high rolling day traders...up to 10-15 trades a day. For traders with trading capital over $25,000.00, free from the NASDAQ day trading rule. Many subscribers are day traders with trading capital over $25,000.00 (if not in the millions). Also, the subscription fees are one of, if not THE most competitive prices around. Raising subscription fees to market value could lift earnings as much as 30%-50%.
*Seminars: The best analysts in the world can charge up to $10,000.00 for classes. I know MANY MANY people who would like me to teach my brand of the updated Elliott Wave technique and Technical Analysis in a strict class setting...I was offered to fly to Singapore, all expenses paid, back in 2001 to teach, and I have many, many powerful connections in this industry.
*Possible expansion into foreign markets - There are over 50-60 indices around the world in Europe, Middle East, Asia etc...there is software that can translate any text into many different languages, and I plan on using it in the future.
*Tai chi forum and Elliott Wave charts: The trading forum has tremendous value, in that it has CLEAR EVIDENCE of the incredible 634% fantasy trading performance to date, and is a huge driver for gaining new subscribers. All the date stamped charts also add significant value, like the October bottom call, recent bottom calls, which showcases my mastery of the Elliott Wave.
*Extremely targeted e-mail list: The e-mail list created for the newsletter has 2174 subscribers, many accredited and very influential traders...and is worth as much as much as $2000-$2200 per e-mail blast. I have yet to create different avenues of gaining revenues through advertising, but I plan on hiring my brother (who worked for one of the best, profitable e-mail/internet marketing companies, Responsebase.com, who recently got acquired by Euniverse...this acquisition was accretive to earnings. He also redesigned my great new website (and helps maintain it), which would have cost as much as $10,000.00, but it was done for free). Note: The e-mail list was created through a word of mouth buzz on the internet, and maintaining it only costs me $21.95 a month...advertising costs for the April 27 2002-April 27 2003 period were only $403(!!!). (including the $99 fee each year for my website host). My following is HUGE on the internet..
*Recent test: Google.com advertising: An investment of $230 in March 21-April 21 resulted in the following: 75 new e-mail subscribers (I convert on average as much 8%-10% of the newsletter subscribers into paying subscribers, so every 100 e-mail subscribers to the newsletter results in 10 paying subscribers..this time I converted 75 into 20 new subscribers, almost 30%!), which can cost up to $1.00 each to obtain, 80,000 impressions(!), 487 click throughs..$775.00 in actual subscription payments. Add in the 75 new e-mail subscribers, which would cost me $50-$75, it became about $825-$850. Even during a terrible month with the war occuring, the $230 investment in Google.com advertising more than tripled to $825-$850 in one month... It cost me $230 to acquire 20 new subscribers (from gold to titanium)....BUT..if I can keep those 20 new subscribers for an entire year, that $230 investment could turn into as much as $10,000.00 a year in net profit. Add in the fact that I still have my word of mouth following, and have yet to tap into investing into financial e-mail list blasts (like my brother at responsebase.com did) and real targeted print advertising/commercials, the sky is the limit into how high the net profits will rise by investing into advertising....add in the fact that all of this occured during THE WORST WORLD MARKET IN HISTORY, AND MANY CONSIDER THE CRASH IN THE NASDAQ WORSE THAN THE GREAT DEPRESSION OF 1929.
eBay/Sports cards and memorabilia plans
*I am considered THE BEST and MOST INFLUENTIAL guru in sports cards and sports memorabilia on the internet, and widely considered the most influential eBay Power Seller since 1997. I was one of the first power sellers, before they went public. Many of my investments in this field have netted profits as high as 300% for eBay auctions over $10,000.00, and can be as much as 500%-1500% at times (!). I have mastered this market during the great crash, and have a huge following. For example, last year I used Elliott Wave to forecast the rise of a Michael Vick card (2001 eTopps) from $15 to $45, back when it was cold and ignored at $13-$15 each on eBay, and within a few months it rose to $45.00(!), defying the overall terrible market for eTopps cards. There are posts on ThePit.com with the time stamped on it, that leaves no doubt about the accuracy and reliability of this call. I rarely take a loss. During the summer of 1999, in a span of 3 months, on eBay I made $55,000.00-$65,000.00 net profit. (If i maintained this for a full year, it would have had earnings projections of up to $200,000-$250,000!). MANY sports card collectors look up to me as the main guru, which includes people like Jerry Yang, founder of Yahoo, and I plan on reinvesting in this field in the future. I know a lot of people who would work for me for nothing around the world, and many of them find investments for me....on the internet. Very very low cost...the only costs were eBay fees and comission. Having a corporate eBay account would add more value to the website, and I plan on investing a portion of the proceedings from the private placement ipo towards this.

Yes, folks...I am NOT the typical 27 year old yuppie dotcom guy. You'd think I'd be some cold, scientific, and overweight asian kid with no life, locked up in his secret room with his Playstation 2, six dollar burger and computer. Not quite.. I'm a VERY PASSIONATE and DRIVEN MAN, who has an obsessive compulsive vision and drive to become THE BEST AT EVERYTHING I DO. EVERYTHING. If I'm not the best, IT'S NOT GOOD ENOUGH. Like my attitude? I'm a VERY talented overall artist, with a cool and original look....I have a great sense of trends, what's fashionable, future trends, (socionomics with the Elliott Wave) and what is "good" and visionary in all forms of media...for example, I wrote, performed AND produced 3 songs in 2000 that cost me a grand total of $100.00 with my home computer recording studio, and those 3 songs hit #1 on 5 different mp3 websites, and 1 of the songs was promoted to millions of europeans and asians for 5-6 months on the MP3TV NOW.com Televions show....the result is a music following that downloaded/streamed my music over 500,000 times(!). My music was FAR ahead of it's time...I took huge risks and they paid off.. My life story is also something from far in the left field bleachers....I am writing a script about it, with plans to create an indie movie (planned budget, a very cheap $4000-$5000 MAX), and I plan on being the main actor in it (obviously)....Why is this a big deal? Because I live in Los Angeles/Santa Monica, and I have A LOT OF CONNNECTIONS. Many people are interested mostly in the artistic side of my life, and it's really starting to take off. I have knack for creating local buzzes and rumors, and spreading it as far as I can. I know how to create huge followings, and I usually can maintain them. I am also an abstract artist, who likes to sketch my visions and dreams with pastel, and some of my works (way back in 1997) were noticed, and bought. It wasn't the technique of the work, but the incredible originality and vision. I'm a true guru, folks...and I am VERY talented in MANY fields.....Looking 3-4 years from now, I could end up creating a record company, or film company....and the fact that I'm extremely frugal ($100 invested to get 500,000 mp3 downloads/streams, $274.00 invested to create a $3 million dollar dotcom), and great with business, I'd be able to keep costs down, and focus on what I believe would be very profitable. It could end up being the vision of a GE, or an AOL-Time Warner....10 years from now, there would be no need for subscribers or tai chi portfolios...the main revenue stream (stock market) would be in the background, and the profits earned would be used to creating my biggest dream...to become the CEO of a media empire...THE biggest media company in the world, or the King of All Media (ala Howard Stern)....If you ever met me in person, I'm an electrifying and charismatic personality....not only are you investing in the gemxwave.com the corporation, you're investing in my huge untapped potential that spreads out into many different fields...
